Welcome to Cerqle (Pty) Ltd (“Platform”). These Terms and Conditions (“Terms”) govern your use of our Platform, including any related applications and services provided by us. By accessing or using our Platform, you agree to these Terms. If you do not agree, you must discontinue use immediately.

2. Eligibility

You must be at least 18 years old to register and use this Platform. By using our services, you confirm that you meet this requirement.

3. Services Provided

The Platform facilitates connections between sellers and buyers.

• For Buyers: You can browse, connect with sellers, and purchase goods or services listed by sellers.
• For Sellers: You can list products, manage inventory, and process transactions through the Platform.

We act solely as an intermediary and are not responsible for the accuracy, quality, or legality of goods and services provided by sellers.

4. User Obligations

You agree to use the Platform responsibly and in compliance with these Terms, including the following:

• Provide accurate and truthful information when registering and using the Platform.
• Maintain the confidentiality of your login credentials.
• Refrain from impersonating any person or entity, including companies.
• Do not post, advertise, or promote any unlawful, fraudulent, or harmful content.
• Comply with all applicable laws and regulations in your use of the Platform.

5. Prohibited Activities & Products

Users are strictly prohibited from:

• Violating any local, national, or international laws.
• Posting false, misleading, or fraudulent information.
• Engaging in activities that may harm the Platform or its users, including but not limited to hacking, data breaches, or introducing malware.
• Using the Platform to advertise or promote unlawful products or services.

Users are also prohibited from selling or promoting the following products(list is not exhaustive and may be updated from time to time):

• Any item for which the sale or distribution thereof is prohibited by South African law or regulation.
• Counterfeit or fake goods.
• Stolen or illegally obtained items.
• Weapons or ammunition.
• Drugs or drug paraphernalia.
• Adult content or materials.
• Gambling or betting services.
• Pornographic or sexually explicit materials.
• Hate speech or inciting violence.
• Any other products that may be deemed harmful or inappropriate.

We reserve the right to remove any listings that violate these prohibitions at any time without prior notice.

We also reserve the right to terminate accounts that violate these Terms or engage in prohibited activities.

We may also take appropriate legal action against users who violate these Terms or engage in prohibited activities.

6. Transactions and Payment

• All transactions on the Platform are processed through a secure third-party payment provider, Yoco.
• We do not store or process credit card or debit card information. For details on how Yoco handles your payment information, please refer to their Legal page.
• We reserve the right to withhold any payout to a seller if we have reasonable grounds to believe that the seller is in breach of these Terms or engaging in prohibited activities.
• A service fee of 10% is deducted from each item sold by the seller on the Platform. This fee is automatically applied at the time of transaction.

7. Data Usage and Privacy

The Platform uses Google Cloud Infrastructure, including Firebase, to power the application and store user data.

• Your personal data will be handled in accordance with our Privacy Policy.
• We implement robust measures to ensure data security, but we cannot guarantee absolute protection from unauthorized access or breaches.

8. Liability Disclaimer

• We act only as an intermediary between buyers and sellers and are not responsible for the quality, legality, or accuracy of the goods and services provided.
• We do not provide any warranty or assume liability for disputes arising between buyers and sellers.
• Under no circumstances shall we be liable for any damages resulting from the use of the Platform, including but not limited to direct, indirect, incidental, or consequential damages.

9. Termination of Use

We reserve the right to terminate or suspend your access to the Platform if you violate these Terms or engage in prohibited activities.

10. Amendments to Terms

We may update these Terms from time to time. Users will be notified of any material changes, and continued use of the Platform constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of South Africa. Any disputes will be resolved exclusively in the courts of South Africa.
